About the Role

We are looking for an exceptional, highly-motivated, business-minded attorney to join TwelveLabs as Legal and Compliance Counsel on the Legal & Compliance Team. In this role, you will partner closely with and support our GTM Team as well as Product, Finance, Accounting, and Security, and will report to our Head of Commercial Legal. You are a sharp self-starter eager to take an ownership role in scaling the commercial legal and compliances functions to be best-in-class on a global scale, while simultaneously counseling on numerous complex strategic initiatives and getting deals done. In this role you will:

  • Serve as a legal advisor on a variety of commercial matters, including customer and vendor contract negotiations and strategic alliances.

  • Partner closely with information security to manage third-party audits and certification attainment (e.g. SOC 2 Type 2, ISO 27001, HIPAA).

  • Partner with our Sales, Business Development, and other GTM teams to develop and refine our commercial counseling and contracting function.

  • Develop rich enablement tools (e.g., internal and external collateral, playbooks, training), meticulously draft and refine contract templates, and establish best-in-class contracting practices.

  • Navigate complex global regulatory frameworks to create scalable and innovative solutions for supporting our products and services.

  • Collaborate cross functionally with our internal teams (Finance, Security, Product, and Engineering) on development and documentation of new features and services.

  • Drive the compliance culture at TwelveLabs and embed integrity and compliance in all of our operations as our company grows.

  • Conduct internal risk assessments and audits to identify and mitigate potential areas of concern. Provide recommendations and work cross functionally to achieve compliance.

  • Assist in the development of a well-documented, comprehensive, and adaptable compliance program that effectively identifies, assesses, and mitigates risks.

  • Develop training materials and conduct trainings related to commercial legal and compliance matters.

  • Advise and assist with TwelveLabs’ general legal needs as they arise.

Eligibility / Requirements:

  • A J.D. from an accredited law school and active bar membership, in good standing, in at least one U.S. state.

  • 2-6 years of combined legal experience at a law firm, in-house, or other relevant roles

  • Excellent drafting and written and verbal communication skills with the ability to break down complex legal jargon into easy-to-understand and actionable advice.

  • Prior experience providing legal advice on regulatory and compliance matters and substantive knowledge of regulations and standards commonly applicable to a B2B software company.

  • Strong working knowledge of many of the following: SaaS licensing, data integrations and other technology transactions; strategic alliances; procurement processes, and vendor negotiations; channel, reseller, and referral sales, marketplaces and other distribution models; and AI, privacy, and cybersecurity issues.

  • Entrepreneurial mindset, solution-oriented ethos (bias to finding the path to “yes”, but confidence in knowing when to say “no”), and ready to roll up your sleeves.

  • Passion for efficient processes.

  • Strong project management, organizational, and analytical and problem-solving skills.

  • Ability to manage a high volume of matters and shifting priorities with efficiency, precision, and a sense of urgency.

  • Thrives in a collaborative environment that values positivity and camaraderie.

Nice to Have but not Required:

  • Prior in-house commercial legal experience at a software company.
