About You and The Role

The Zipline Legal Team is searching for an organized and proactive lawyer who has the skills and curiosity to handle a wide range of commercial and corporate legal matters. You will work closely with almost every Zipline business unit, managing almost all day-to-day contract operations and global corporate secretarial work. On a given day, you may help us create a wholly-owned subsidiary in Australia in the morning and turn to supporting our engineering team with drafting, negotiating, and closing a third-party development contract in the afternoon. You’ll be at the center of a strong, friendly, passionate, and growing in-house legal function and will work closely with each of the six members of the Legal Team, reporting to Zipline’s General Counsel.

What You'll Do

• Be the first port of call for internal customers of Zipline’s Legal Team, effectively communicating with and managing expectations of those customers
• Draft, negotiate, and close contracts in connection with a variety of corporate and commercial transactions, including supply chain, sales, technology transactions, financings, real estate, and other miscellaneous inbound and outbound agreements
• Manage corporate secretarial, formation, and compliance matters for Zipline and its international subsidiaries
• Oversee Zipline’s business insurance program, from running Zipline’s insurance renewal process to overseeing and filing insurance claims on behalf of the business
• Support with special corporate projects, including financing and strategic transactions
• Research and analyze discrete corporate and commercial legal questions and clearly communicate those research findings in writing and verbally
• Proofread and write legal documents, contracts, memoranda, and correspondence
• Collaborate with Zipline’s finance and accounting teams on a variety of cross-functional and legal-adjacent projects, including international tax and transfer pricing arrangements, financial audits, commercial real estate leases, franchise taxes, etc.
• Pinch hit for members of the Legal Team, helping to creatively and efficiently address novel questions that come up each day across Zipline’s global business

What Else You Need to Know

• JD Degree required
• Member in good standing of at least one state bar
• Relevant legal experience (at a reputable law firm and/or in-house)
• Must be eligible to work in the United States
• This is an in-office role based out of our South San Francisco HQ
